These Terms of Service (“Terms”) govern your access to and use of the AgentRoot services provided by Vitro Technology Corporation (“Vitro,” “we,” “us,” or “our”), a Texas C Corporation with a mailing address at PO Box 66224, Austin, TX 78766. AgentRoot offers tiered freemium API proxy services for AI agents, enabling secure proxying of API keys with a cryptographic root of trust established via the Ethereum Attestation Service (EAS) and Ethereum blockchain (collectively, the “Services”). The Services are accessible via our website, platform, API, and related tools.
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.
1. Description of Services
AgentRoot provides a proxy layer that routes API calls for AI agents while establishing and verifying a root of trust using EAS attestations on Ethereum. Services are offered in tiered plans: a Free tier with limited usage, Paid Monthly subscriptions, and Paid Annual subscriptions with higher limits and additional features.
We do not control third-party APIs, Ethereum or EAS networks, gas fees, or the behavior of your AI agents. Blockchain attestations are public and immutable by design. Features and limits may change; paid plans are subject to our current pricing and billing terms.
2. Eligibility and Accounts
You must be at least 18 years of age (or the age of majority where you reside) to use the Services. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions and Billing (Freemium Model)
- Free Tier: Limited access with usage quotas. No payment required.
- Paid Tiers: Monthly or annual recurring subscriptions. You authorize us to charge your payment method for the selected plan.
- Fees are non-refundable except as required by law. We may change pricing with notice.
- You may upgrade, downgrade, or cancel via your account settings.
4. Acceptable Use and User Responsibilities
You agree to use the Services only for lawful purposes and in compliance with all applicable laws. You must not proxy API keys or use the Services to violate third-party terms of service, infringe intellectual property, or engage in illegal, fraudulent, or harmful activities.
You retain ownership of your API keys, data, and attestations but grant us a limited, worldwide, royalty-free license to access, process, and transmit them solely as necessary to deliver the Services.
5. Intellectual Property
All rights in the Services, software, proxy infrastructure, branding, and any Vitro or AgentRoot technology belong to Vitro or its licensors. You receive a limited, non-exclusive, revocable license to use the Services during your active subscription or Free tier access.
6. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Blockchain operations involve risks such as network congestion, high gas fees, forks, smart contract vulnerabilities, and permanent immutability.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENT WAS MADE).
8. Indemnification
You agree to indemnify, defend, and hold harmless Vitro Technology Corporation from any claims arising from your use of the Services, violation of these Terms, your AI agents' actions, or infringement of third-party rights.
9. Termination
We may suspend or terminate your access at any time for breach, suspected abuse, or non-payment. You may cancel your subscription at any time.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts located in Austin, Travis County, Texas. Claims must be brought within one (1) year.
11. Changes to Terms
We may update these Terms. Continued use after posting updated Terms constitutes acceptance.
12. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement.
